November 19, 2012 Meeting Minutes

Present – Claudia D’Agata, Don Berg, Wilbur Gangaway; financial consultant David Berto. Absent: WHA Chairman Robert Campbell, Laurel Millex

Call to Order – W. Gangaway called the meeting to order at 6:12 p.m.

Present to Speak – No members of the public were present to speak.

Old Business – Button Hill Senior Housing project

D. Berto said he looked at a list of banks submitted to him by WHA members but that he still needs to contact them regarding whether an application can be made in the spring in the Indianapolis region.

D. Berto gave an update on town documents for the project. He said he now has all the inputs he needs to do the land lease. He also now has documentation for the required easement, but it needs a slight modification for the new housing regarding access to the main road.

He said Jim Scaramossa is now WHA’s legal consultant, that he has worked with him the past, and Atty. Scaramossa will work on the proper wording (for the easement) and will then get it executed by the Town. He said there’s money from the DECD in the WHA budget to pay legal fees.

There was discussion about the content of the fixed tax assessment agreement with the town.  D. Berg said he isn’t clear regarding the length of the agreement.  D. Berto said Atty. Scaramossa can draft the document based on what was approved at the July 17, 2012 Town Meeting. A copy of the minutes from that Special Town Meeting was distributed; the minutes state: “A motion was made by Shirley Ernst and seconded by Kelly Traub to approve Item III. Resolution For Senior Cottage Fixed Tax Assessment Agreement was also distributed. Discussion followed. There have been many meetings to determine the best way to handle this tax assessment. It was decided the best way would be to assess each unit at $10,000 and this agreement would conclude in 2047. Move to call the vote. Vote was taken and motion was carried for Item III. Motion carried.”

W. Gangaway asked if the two documents (lease, tax agreement) could be given to the Town at the same time. D. Berto said yes, but added it could take a little while to get on Atty. Scaramossa’s schedule. However, he would expect Atty. Scaramossa to complete the work quickly.

D. Berto discussed when the WHA could begin to spend the Town money and said he still needs to contact L. Wagner.

C. D’Agata read Board of Selectmen minutes regarding the funds which state there is $372,000 available to the WHA to spend “as it deems necessary” while complying with state and federal rules.  However, the Board of Selectmen used $15,000 of that money to pay WHA bills. She noted that there may be money in other line items to make up for that expenditure.

D. Berto said L. Wagner has control over only half the money because the other half is left over from the water and sewer project.

C. D’Agata said the money is supposed to be for infrastructure and records show funds were withdrawn from 1033037 (line in the budget) in 2009-2010 for infrastructure via a transfer. Deducting $15,000 from these funds ($174,912) leaves a balance of $159,912.14.  She said she also sees $4,500 left from STEAP grant funds.

D. Berto said that when working with L. Wagner, the WHA will have to reach an agreement with the town about how much money is available.  He said $196,000 is a 2008 grant and it’s still there; the $176,000 is “left over money” that the Town controls.

D. Berto noted that R. Campbell needs to sign a form in order to pay $1,700 to Crosskey Architects for extra work they did.


New Business –

D. Berto said he will contact the suggested banks.

Approval of Minutes –

The Oct.15, 2012 minutes were unanimously approved as corrected.

Treasurer’s Report –

C. D’Agata submitted a report and stated the only expenditure was $53.83 for secretarial services and that the balance was $3,818.88.  

Correspondence – A 2012 Census of Governments Survey of Local Government Finances, Special Agencies. C. D’Agata said the survey was completed and submitted electronically with 1211 CAFR report on Oct. 18, 2012.  The WHA also received a letter from Carpet Works of Manchester, CT asking to be included in future bids – members felt this company should follow the same procedure as all others, which is to respond to public notices published in local media. The WHA also received materials from an automatic door company.
